Columbus Business and Litigation Attorney - As an experienced business attorney, I've built my practice around representing new and experienced entrepreneurs and businesses. Although my competitive nature has turned me into a litigation junkie, I do my best to keep clients out of court, and away from costly litigation, by ensuring that my clients have well-drafted contracts and that they are in compliance with applicable laws and regulations in their respective sectors. However, as any entrepreneur can attest to, business deals can go South, and legal disputes can ensue. Always putting the client's interest first, when disputes arise, my goal is to navigate through these disputes and dispose of them in the most cost-effective way. Depending on the situation, sometimes this means a well-structured settlement pursuant to the terms of a carefully drafted settlement agreement, and other times this means aggressively pursuing or defending inside of a courtroom. When it comes time for litigation, I am well prepared to vigorously pursue and defend litigation on behalf of my clients. I have represented clients in the Common Pleas Courts of Franklin, Delaware, Guernsey, Harrison, Madison, and Lawrence Counties, as well as in the Southern District of Ohio and in front of the Tenth and Fifth Ohio District Courts of Appeals.

Areas of Practice

Commercial and Business Litigation – I have represented clients in a number of business disputes including cases for breach of contract, construction disputes, including suits under consumer law and suits relating to mechanics’ liens, disputes between business partners, real property disputes, disputes under commercial leases, defamation, protection of trade secrets, fraud, and civil theft.

Employment Law – Nothing is more regulated in this country than employment. From complying with antidiscrimination laws, such as Title VII, to wage and hour laws, I routinely advise clients and draft company policies to ensure my clients are aware of and comply with the complex and confusing web of state and federal employment laws and regulations.

Employment Litigation – The vast majority of employers get accused of violating a state or federal employment law at some point. Because employees are awarded attorney fees for successfully suing under most state or federal employment laws, they typically have zero out of pocket costs in retaining a plaintiff attorney to try to squeeze some money from your business. Some employment claims are valid, many are not. Any allegation from an employee must be taken seriously and promptly investigated in order to mount a sufficient defense. I have defended employers in state and federal court against employment suits ranging from class action suits under the Fair Labor Standards Act and Ohio wage and hour law, to discrimination suits under Title VII and other antidiscrimination laws, including suits in sexual harassment, retaliation, and wrongful termination. In addition, I have represented clients in responding to EEOC complaints as well as in defending against administrative action from the Department of Labor.

Construction Law – Many of my clients are involved in the construction industry in some fashion. I’ve represented contractors who do large scale commercial renovations, homebuilders, asphalt paving companies, as well as other general contractors who perform various residential and commercial work. As a result, I’ve been on virtually every side of construction disputes. I’ve represented general contractors who have disputes against subcontractors, subcontractors who haven’t been paid by the general contractor, as well as property owners who end up with a mechanics’ lien on their property even though they’ve paid the general contractor in full. These disputes are complex and often time sensitive. It’s never too early to involve competent legal counsel in one of these disputes as early as possible.

Consumer Sales Protection and Home Solicitation Sales Compliance – Almost every company who performs work on residential homes should be aware of, and in compliance with, the consumer sales protection act and the home solicitation sales act. I have drafted compliant contracts for clients to ensure they do not run afoul of these draconian and overreaching consumer protections. I have also defended clients who are sued or threatened with suit under these laws. A suit against a small business for violation of the consumer sales protection act and home solicitation sales act can crush a small business. I’m so passionate in defending small businesses against these laws that I had a law review article published in the Ohio State Business Law Journal on the topic titled Ohio’s Home Solicitation Sales Act: Consumer Protection Overreach.

Corporate & General Business – I also assist clients in setting up new business ventures and partnerships by drafting corporate governance documents, including operating agreements, corporate regulations, and buy-sell agreements. These agreements are often the final result of intense negotiations between business partners to protect their ownership and investment in new business. It is vital for all business partners to outline the nature of their relationship at the outset to maximize potential litigation down the road. I have handled a number of lawsuits between business partners and almost all of them are the result of inadaquate formational documents. Without a good operating agreement or corporate regulations, an aggrieved owner is left to argue what he or she thought the relationship was supposed to be; not an enviable position in a court of law.



Outside the Firm

I typically spend my spare time enjoying all Cleveland sports (to the extent possible), exercising, and drinking craft beer. I received my B.A. in History and Political Science as well as my J.D. from The Ohio State University. Prior to attending school, I served four years of active duty in the United States Marine Corps.
